我司为内资有限公司,欲与一外商合资,请问:我司可否以公司全部资产与外商合资,即原公司仅保留一空�主体,而不从事生产经营。还是作为合(出)资的资产与公司净资产有比例限制?
答：
老公司（非公司企业法人）确实有这种做法，特别是对外开放早期更为常见，一些国有企业改制上市也是这样处理的。但是对于有限公司，根据公司法的规定，公司向其他公司投资的累计投资额不得超过本公司净资产的50％。
